Terms of Service

1. Introduction and Acceptance
These Terms of Service (the “Terms”) form a binding agreement between you and TaskAssist, Inc. (“TaskAssist”, “we”, “us”, or “our”) and govern your access to and use of the TaskAssist website, applications, APIs, and related services (collectively, the “Service”). TaskAssist provides a software-as-a-service platform that allows customers to build custom AI assistant chatbots trained on their own content.
By creating an account, clicking “I agree”, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.
2. Definitions
- “Service” means the TaskAssist platform, websites, applications, APIs, and related offerings.
- “Customer”, “you”, or “your” means the individual or legal entity that has agreed to these Terms.
- “Workspace” means the account environment created by a Customer on the Service.
- “Content” means any data, text, documents, URLs, files, prompts, configurations, or other material you submit to the Service.
- “Bot” means an AI assistant configured by a Customer through the Service and trained on Customer Content.
- “Subscription” means a recurring paid plan you purchase through the Service.
3. Eligibility
The Service is not intended for and may not be used by anyone under the age of 18. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Accounts and Account Security
TaskAssist uses magic-link email authentication. You are responsible for maintaining control of the email inbox associated with your account and for all activity that occurs under your account. You must provide accurate information when signing up, keep your account information current, and promptly notify us at hello@taskassist.ai of any unauthorised access or suspected security incident. We are not liable for losses arising from your failure to safeguard your account.
5. Acceptable Use and Prohibited Uses
You agree not to, and not to permit any third party to:
- Use the Service for any illegal, fraudulent, or harmful purpose;
- Scrape, crawl, or otherwise extract data from the Service through automated means, or otherwise abuse the Service through bots, scripts, or other automated systems;
- Upload, transmit, or distribute malware, viruses, worms, or any other malicious code;
- Attempt to jailbreak, manipulate, reverse engineer, probe, penetration test, overload, flood, or otherwise interfere with the integrity, performance, or security of the Service or the underlying AI models;
- Submit Content that infringes any third-party intellectual property, privacy, publicity, or other right;
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- Use the Service to generate or distribute content that is defamatory, harassing, hateful, sexually explicit involving minors, or that violates applicable law.
We may investigate suspected violations and take any action we deem appropriate, including suspending or terminating accounts and cooperating with law enforcement.
6. Customer Content and License
As between you and TaskAssist, you retain all right, title, and interest in and to your Customer Content, including the sources you upload and the Bots you configure. You grant TaskAssist a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, process, and otherwise use your Customer Content solely as needed to operate, secure, support, and improve the Service for you.
You represent and warrant that you have all rights, consents, and permissions necessary to submit your Customer Content to the Service and to grant the license above. You are solely responsible for the accuracy, quality, legality, and appropriateness of your Customer Content.
7. AI Output Disclaimer
Responses generated by Bots are produced by artificial intelligence models and may be inaccurate, incomplete, biased, outdated, or otherwise unsuitable for any particular purpose. You are solely responsible for reviewing AI-generated outputs before relying on, publishing, or otherwise acting on them. TaskAssist makes no guarantee that any output is correct, fit for purpose, or suitable for use in safety-critical, medical, legal, financial, or regulated contexts.
8. Subscriptions and Billing
TaskAssist offers a Free plan that is free forever, and paid Growth and Scale plans that are billed in advance on a monthly or annual cycle through our payments processor, Stripe. By starting a paid plan, you authorise us (and Stripe) to charge your chosen payment method for the applicable fees and any taxes.
Paid Subscriptions automatically renew at the end of each billing period at the then-current rate, unless cancelled before renewal. You can manage or cancel your Subscription at any time from the in-app billing settings. Cancellation takes effect at the end of the then-current billing period and you will continue to have access until that date.
Fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused features, or downgrades, except where required by law.
9. Fair Usage and Plan Limits
Each plan includes limits on the number of Bots, messages, training sources, and other resources. These limits are published on our pricing page and may be updated from time to time. When you reach a plan limit, the affected feature may be paused or throttled until the limit resets or until you upgrade. We may apply reasonable measures against abnormal usage that materially degrades the Service for other Customers.
10. Fee Changes
We may change Subscription fees from time to time. Any fee change will take effect at the next renewal of your Subscription, and we will give you at least 30 days’ notice by email or in-app notice before it takes effect. If you do not agree to the new fees, you may cancel your Subscription before the change takes effect.
11. Intellectual Property
The Service, including all software, models orchestration, user interfaces, designs, logos, names, and documentation, is owned by TaskAssist or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you in the Service.
12. Third-Party Services and Subprocessors
We rely on a small number of subprocessors and third-party services to operate the Service. The current list of subprocessors is maintained in our Privacy Policy. Third-party services are governed by their own terms, and we are not responsible for their acts or omissions.
13. Feedback License
If you provide us with suggestions, ideas, or other feedback about the Service, you grant TaskAssist a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use and exploit that feedback for any purpose, without obligation or compensation to you.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKASSIST DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKASSIST AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TASKASSIST’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID TO TASKASSIST FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
You agree to defend, indemnify, and hold harmless TaskAssist and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Customer Content, (b) your use of the Service in violation of these Terms or applicable law, or (c) your infringement of any third-party right.
17. Termination and Suspension
You may terminate your account at any time by cancelling your Subscription and deleting your Workspace from the in-app settings. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if we reasonably believe you have materially breached these Terms, if required by law, or if your use poses a security or legal risk. Upon termination, your right to use the Service ceases immediately, and Customer Content will be deleted in accordance with our retention practices described in the Privacy Policy. Sections that by their nature should survive will survive termination.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. You and TaskAssist agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising out of or relating to these Terms or the Service, except where applicable law requires otherwise.
19. Changes to the Terms
We may update these Terms from time to time. If we make a material change, we will give you at least 14 days’ notice through the Service or by email before the change takes effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
20. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision.
21. Entire Agreement
These Terms, together with the Privacy Policy and any order forms or written agreements between you and TaskAssist, constitute the entire agreement between you and TaskAssist regarding the Service and supersede all prior or contemporaneous understandings.
